We advised the underwriters on the offering

Davis Polk advised the representatives of the serveral underwriters in connection with the $92.5 million SEC-registered offering by certain selling shareholders of InnovAge Holding Corp. of 10 million shares of InnovAge’s common stock. The selling stockholders have granted the underwriters an option to purchase up to 1.5 million additional shares of common stock to cover over-allotments. InnovAge is traded on the Nasdaq Global Select Market under the symbol “INNV.”

InnovAge is a leading provider of comprehensive healthcare programs to frail, predominantly dual-eligible seniors through the Program of All-Inclusive Care for the Elderly (PACE). With a mission of enabling older adults to age independently in their own homes for as long as safely possible, InnovAge’s patient-centered care model is designed to improve the quality of care participants receive while reducing over-utilization of high-cost care settings.

The Davis Polk capital markets team included partners Michael Kaplan and Pedro J. Bermeo and associates Marcus Holtzman and Sophia Matton. Counsel Dustin Plotnick and associate Michael Hsieh provided tax advice. All members of the Davis Polk team are based in the New York office.
