The investment-grade notes were issued in four tranches

Davis Polk advised the underwriters in connection with a public offering by International Business Machines Corporation of $1 billion aggregate principal amount of its 4.000% notes due 2025, $750 million aggregate principal amount of its 4.150% notes due 2027, $750 million aggregate principal amount of its 4.400% notes due 2032 and $750 million aggregate principal amount of its 4.900% notes due 2052.
