The investment-grade debt consists of five tranches

Davis Polk advised the underwriters in connection with a public offering by International Business Machines Corporation of $650 million aggregate principal amount of its 2.200% notes due 2027, $500 million aggregate principal amount of its 2.720% notes due 2032 and $650 million aggregate principal amount of its 3.430% notes due 2052. Davis Polk also advised the underwriters in connection with a public offering by International Business Machines Corporation of €1 billion principal amount of its 0.875% notes due 2030 and €1 billion principal amount of its 1.250% notes due 2034.
