General Catalyst Global Resilience Merger $402.5 million SPAC IPO
We advised the underwriters on the IPO
Davis Polk advised the underwriters in connection with the initial public offering of 40,250,000 Global Resilience Aligned Initial Listing securities (GRAIL securities) of General Catalyst Global Resilience Merger Corp., for aggregate proceeds of $402.5 million, which includes proceeds from the exercise in full of the underwriter’s over-allotment option. Each GRAIL security consists of one Class A ordinary share and one-fourth of one redeemable warrant, where each whole warrant entitles the holder to purchase one Class A ordinary share of General Catalyst Global Resilience Merger Corp. The GRAIL securities are listed on the Nasdaq Global Market under the symbol “GCGRU.”
General Catalyst Global Resilience Merger Corp is a Cayman Islands exempted company, formed as a blank check company for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses.
