We advised the underwriter on the SPAC IPO and Euronext Amsterdam listing

Davis Polk advised the underwriter in connection with the private placement of 36,510,000 units of European FinTech IPO Company 1 B.V. The underwriter has also been granted an option to purchase up to 5,010,000 additional units pursuant to an over-allotment option. Each unit consists of one ordinary share and one-third of a warrant to purchase one ordinary share of European FinTech IPO Company 1 B.V. The units were listed on Euronext Amsterdam under the symbol “EFIC1”.

European FinTech IPO Company 1 B.V. is a newly organized special purpose acquisition company (SPAC) formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with or acquisition of a target business or entity. European FinTech IPO Company 1 B.V. intends to focus on opportunities in the broadly defined financial services and financial technology sectors and aims to complete a business combination with a suitable partner that operates, or whose headquarter is, in Europe, including the United Kingdom or Israel. European FinTech IPO Company 1 B.V. is the first FinTech focused SPAC to be listed in Europe.
