We advised the joint bookrunners on the offering

Davis Polk advised the joint bookrunners in connection with a follow-on offering by ENGIE Brasil Energia S.A. of 274,082,684 common shares for an aggregate amount of approximately R$8.4 billion (or approximately $1.7 billion). The common shares are listed on the B3, the São Paulo stock exchange. The securities sold in the international offering were placed under Rule 144A and Regulation S.

ENGIE is one of Brazil’s leading renewable energy companies with a proprietary installed capacity of approximately 13 GW across 120 plants, which represents around 5% of domestic Brazilian capacity. ENGIE also owns the most extensive natural gas transportation network in Brazil, with 4,500 km crossing 10 states and 191 municipalities.
