We advised the underwriters on the SPAC IPO and Nasdaq listing

Davis Polk advised the underwriters in connection with the $402.5 million initial public offering of 40,250,000 units of Decarbonization Plus Acquisition Corporation II. Each unit consists of one Class A ordinary share and one-third of one redeemable warrant to purchase one Class A ordinary share of Decarbonization Plus Acquisition Corporation II. The units were listed on the Nasdaq Capital Market under the symbol “DCRNU.”

Decarbonization Plus Acquisition Corporation II is a newly organized, special purpose acquisition company (SPAC) formed for the purpose of effecting a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses. Decarbonization Plus Acquisition Corporation II intends to capitalize on the Riverstone platform to identify, acquire and operate a business in industries that may provide opportunities for attractive risk-adjusted returns in one of the multiple sectors that may advance the objectives of global decarbonization.
