Davis Polk advised Kosmos Energy Ltd. and funds affiliated with Warburg Pincus LLC in connection with an SEC-registered secondary offering of 17,250,000 common shares by such funds as selling shareholders, for an aggregate price to the public of $92.8 million.

Davis Polk also advised Kosmos Energy Ltd. and funds affiliated with Warburg Pincus LLC in connection with a privately-negotiated share repurchase of 35,000,000 common shares by such funds as selling shareholders, for an aggregate price of $188 million.

Kosmos is an international oil and gas exploration and production company with a focus on frontier and emerging areas along the Atlantic Margin. The shares sold are listed on the New York Stock Exchange under the symbol “KOS.”
