We advised Compass on its IPO

Davis Polk advised Compass Gás e Energia S.A. and the selling shareholders in connection with the R$2.8 billion offering of 100,892,857 common shares of Compass by its controlling shareholder Cosan S.A. and certain other selling shareholders. Common shares sold in the international offering were placed under Rule 144A and Regulation S. The common stock is listed on the São Paulo Stock Exchange under the ticker symbol “PASS3.”

Compass is a Brazilian gas business platform active in the distribution of piped natural gas, the origination, marketing and supply infrastructure of gas, as well as the development of solutions aligned with the energy transition, including biomethane projects.
