We advised Axar Capital and Phillips Pet Food & Supplies on the joint venture

Davis Polk advised Axar Capital Management LP and its portfolio company Phillips Pet Food & Supplies on the formation of a strategic joint venture with Central Garden & Pet.

The joint venture aims to create a stronger, more agile nationwide distribution network designed to accelerate growth opportunities, drive greater operational efficiency and deliver enhanced service and capabilities to the companies’ customers, employees and vendor partners. The joint venture will operate under the Phillips brand.

Founded in 1938 and headquartered in Easton, Pennsylvania, Phillips Pet Food & Supplies is a leading national distributor of pet products. The company serves a diverse customer base, including feed and farm stores, groomers, veterinarians and independent pet retailers, through an expansive network of 11 distribution centers nationwide.

Central Garden & Pet is a leading consumer goods company in the pet and garden industries.
