We are advising Bertelsmann on the transaction

Davis Polk is advising Bertelsmann on its agreement with Great Mountain Partners (GMP) to combine their respective music businesses, BMG and Concord, to create the world’s leading independent music company. The combined company will operate under the BMG name. Bertelsmann will own approximately 67% of the combined company, while affiliates of GMP will own approximately 33% and will also receive a one-time cash payment of $1.16 billion. The transaction is expected to close in the second half of 2026, subject to customary closing conditions including regulatory approvals.
