We advised the underwriters on the offering

Davis Polk advised the representatives of the underwriters in connection with a £4.25 billion SEC-registered debt offering by Amazon.com, Inc., consisting of £1.25 billion of its 5.200% notes due 2029, £1 billion of its 5.550% notes due 2032, £1 billion of its 6.250% notes due 2038 and £1 billion of its 6.650% notes due 2045.
