Davis Polk advised the representatives of the underwriters in connection with a $37 billion SEC-registered debt offering by Amazon.com, Inc., consisting of $1.75 billion of its floating-rate notes due 2028, $1 billion of its floating-rate notes due 2029, $2.25 billion of its 3.850% notes due 2028, $3 billion of its 4.000% notes due 2029, $5 billion of its 4.250% notes due 2031, $4 billion of its 4.550% notes due 2033, $6 billion of its 4.875% notes due 2036, $2.5 billion of its 5.650% notes due 2046, $5.5 billion of its 5.800% notes due 2056, $3 billion of its 5.950% notes due 2066 and $3 billion of its 6.050% notes due 2076.
