Mr. Young is a partner in Davis Polk’s Corporate Department, practicing in the London office. His practice is principally focused on advising clients on corporate finance transactions. He has advised on a wide range of public and private cross-border equity offerings and investment-grade, high-yield and structured financings, including for companies based in the United Kingdom, Europe, Africa, India, Russia and North America (particularly in the metals and mining, financial institutions and technology sectors); various restructurings and refinancings; and a range of private and public mergers and acquisitions transactions in the United Kingdom, North America and Europe. Mr. Young has also advised clients on ongoing reporting and compliance matters, and corporate governance.

Mr. Young’s completed capital markets transactions include:

  • Various IPOs, including Aer Lingus, Hogg Robinson Group, eDreams ODIGEO and NNIT A/S
  • The underwriters on equity offerings by Arcadis, Impala Platinum, Ladbrokes and The National Bank of Greece
  • Aquarius Platinum, AngloGold Ashanti (for the underwriters), Banco Espirito Santo, Barratt Developments, Charles Taylor plc, Delta Lloyd, Just Retirement (for the underwriters), Rio Tinto (for the underwriters) and Taylor Wimpey on their respective rights offerings
  • Odigeo, Marks & Spencer, Reliance Industries and The Royal Bank of Scotland on various bond offerings
  • The underwriters on bond offerings including by Anglo American, AngloGold Ashanti, Brooklyn Union Gas, The Hashemite Kingdom of Jordan, The Emirate of Abu Dhabi, Credit Agricole, BNG, BPCE, CRH, Danske Bank, Dexia, Imperial Tobacco, ING Bank, NWB, Philips, Rio Tinto, Skandinaviska Enskilda Banken and Yara International
  • Various liability management transactions, including Banco Espirito Santo and The National Bank of Greece’s respective debt for equity exchange offers and various cash tender offers including by Anglo Gold Ashanti, CRH and Rio Tinto (for the dealer managers)
  • Certain derivative and structured financings, including collateralized by stock
Restructuring and Refinancings
  • Technicolor on a €900 million TLB refinancing of a substantial majority of its senior debt
  • Technicolor on its 2009-2010 comprehensive court-approved €2.8 billion balance sheet restructuring, including the negotiation of the reinstated debt agreements and two new working capital facilities
  • Various U.K. companies in connection with their negotiated refinancings or restructurings

Mr. Young's M&A transactions include various private transactions in Europe (including by way of auction) and a number of public transactions in the United Kingdom (as to U.S. securities law and tender offer rules). Recent publicly announced transactions include acting for:

  • Taylor Wimpey, a U.K.-based homebuilder, disposing of its North American division for approximately $1 billion
  • MSCI in its acquisition of IPD Group, a U.K. real estate data analysis firm
  • The Edwards Group, a U.K.-based manufacturer, in its merger with Atlas Copco AB
