Adam Kaminsky

Mr. Kaminsky is a partner in Davis Polk’s Corporate Department, practicing in the Executive Compensation Group. He is based in the Washington DC office. His practice focuses principally on private equity matters, including advising on the executive compensation aspects of private equity transactions and on executive compensation matters for portfolio companies.

Mr. Kaminsky has extensive experience advising on the executive compensation & ERISA aspects of a wide range of corporate transactions, including mergers and acquisitions, initial public offerings and spinoffs. He also advises public and private companies on the design, implementation and administration of equity and cash compensation arrangements; the negotiation of executive employment agreements, severance and change in control arrangements; and related corporate governance and disclosure matters. Mr. Kaminsky has negotiated individual compensation packages for executives of large publicly traded companies, as well as for executives of portfolio companies with private equity sponsors.

  • AEA’s acquisition of 24 Hour Fitness
  • Onex’s acquisition and sale of Jack’s Family Restaurants
  • The merger of Knight Transportation and Swift Transportation
  • Magento’s acquisition by Adobe
  • WeddingWire’s acquisition by Permira, followed by WeddingWire's acquisition of XO Group
  • The spinoffs of SPX FLOW by SPX, Phillips 66 by Conoco Phillips, Mallinckrodt by Covidien and Suncoke Energy by Sunoco
