Davis Polk is advising Morgan Stanley as financial adviser to Polycom, Inc. in connection with its approximately $2.0 billion acquisition by Siris Capital Group. In connection with entering into the merger agreement with Siris, Polycom terminated its previously announced merger agreement with Mitel Networks Corporation and paid Mitel the termination fee payable under that agreement. The Siris acquisition is subject to customary closing conditions, including receipt of stockholder and regulatory approvals, and is expected to close in the third quarter of 2016.
