Davis Polk is advising Noble Group Limited on the sale of its wholly-owned subsidiary Noble Americas Gas & Power Corp. to Mercuria Energy America, Inc. The transaction, which is expected to close before the end of 2017, is subject to approval by Noble shareholders, expiration of the Hart-Scott-Rodino waiting period, approvals under the Federal Power Act and the Canadian Competition Act, and lender approval under the Noble Americas Corp. secured borrowing base revolving credit facility.

Noble Group manages a portfolio of global supply chains covering a range of industrial and energy products. Noble Americas Gas & Power Corp. trades and provides supply chain management services in gas and power in North America. Mercuria trades physical oil, energy products and other commodities from business hubs in Geneva, London, Singapore, Shanghai and Houston.
