Davis Polk advised the joint book-running managers and representatives of the underwriters in connection with the $124.2 million SEC-registered offering of 6,555,000 shares of common stock of BMC Stock Holdings, Inc., of which 5,700,000 shares were sold by the selling stockholders and 855,000 shares were sold by BMC Stock pursuant to the option provided for by the Underwriting Agreement. The common stock is listed on the Nasdaq Global Select Market under the symbol “STCK.”

Headquartered in Atlanta, Georgia, BMC Stock is a diversified lumber and building materials distributor and solutions provider that sells to new construction and repair and remodeling contractors. BMC Stock’s primary products are lumber and lumber sheet goods, millwork, doors, flooring, windows, structural components such as engineered wood products, trusses and wall panels and other exterior products. BMC Stock offers a broad range of products sourced through a strategic network of suppliers, which together with BMC Stock’s various solution-based services, represent approximately 50% of the construction cost of a typical new home.
