Jenna represents U.S. and non-U.S. issuers and financial institutions in a variety of capital markets transactions. She has advised on initial public offerings and secondary equity offerings, pre-IPO investments, PIPEs, funding rounds and other private placements. She is also experienced in public and private offerings of investment-grade and high-yield debt (including green, social and sustainability-linked bonds), acquisition financings, SPAC IPOs and de-SPAC transactions, tender offers, exchange offers and other strategic corporate transactions.
In addition, Jenna regularly advises public companies, including international private issuers, on U.S. securities law compliance, Exchange Act reporting, corporate governance matters, stock exchange listing requirements and the preparation of public disclosures.
Jenna’s experience spans jurisdictions and industries, including technology, financial services, energy, consumer products and retail, biotech and life sciences, and industrials.
