- Advising noteholders in respect of Victoria PLC’s uptiering transaction
Hannah’s representations prior to joining Davis Polk include:
- ADVANZ PHARMA, a Nordic Capital portfolio company, in connection with the issuance of €917 million (equivalent) in new euro – and pound sterling – denominated senior secured notes and the borrowing of a €165 million term loan B facility.
- Sino-Ocean Group Holding Limited in relation to its US$6 billion cross-border restructuring, involving a contested English Restructuring Plan and a parallel Hong Kong Scheme of Arrangement. This was the first Restructuring Plan of a Chinese real estate developer, the first Restructuring Plan where cross-class cram-down was successfully utilized, and the first Restructuring Plan where the existing shareholders were permitted to retain a significant proportion of equity in the company due to the benefits of the company retaining its status as a Chinese stated-owned entity.
- One Equity Partners and Buckthorn Partners in their acquisition of Acteon Group and related corporate reorganization.
- Coupang, Inc. in the completion of its acquisition of the business and assets of Farfetch Holdings plc via an English pre-pack administration.
- A multi-national agricultural and irrigation conglomerate on its debt restructuring of US$200 million notes via an English Scheme of Arrangement.
- A national airline carrier in English High Court proceedings against a state entity, involving, amongst other things, a disputed foreign law-governed restructuring plan.
- A multi-jurisdictional consumer goods business on its debt restructuring across several jurisdictions.
- North Wall Capital, as legal secondee, working on several private credit, direct lending matters.
