Davis Polk advised the representatives of the several initial purchasers in connection with a Rule 144A offering by Silicon Motion Technology Corporation of an aggregate principal amount of $1.15 billion of its 0.00% convertible senior notes due 2031, which included $150 million aggregate principal amount of its 0.00% convertible senior notes due 2031 pursuant to the exercise in full of the initial purchasers’ option to purchase additional notes.

Silicon Motion Technology is the global leader in supplying NAND flash controllers for SSDs. The company ships more SSD controllers than any other supplier worldwide for servers, PCs and other edge devices, and is also the leading merchant provider of eMMC and UFS embedded storage controllers used in smartphones, IoT products and automotive applications.
