Davis Polk advised the representatives of the underwriters in connection with an SEC-registered offering by Norwegian Cruise Line Holdings Ltd. (“NCLH”) of 19,166,667 of its ordinary shares (including 2,500,000 ordinary shares issued in connection with the full exercise by the underwriters of their option to purchase additional ordinary shares) that raised approximately $277 million in gross proceeds.

NCLH is a leading global cruise company that operates the Norwegian Cruise Line, Oceania Cruises and Regent Seven Seas Cruises brands. With a combined fleet of 28 ships with approximately 59,150 berths, these brands offer itineraries to more than 490 destinations worldwide. NCL Corporation Ltd. (“NCLC”) is a subsidiary of NCLH. NCLH’s shares are traded on the New York Stock Exchange.
