Molson Coors $1.8 billion notes offering

Davis Polk advised the representatives of the several underwriters in connection with an SEC-registered offering by Molson Coors Beverage Company of $500 million aggregate principal amount of its 4.900% senior notes due 2031 and $1 billion aggregate principal amount of its 5.500% senior notes due 2036. The U.S. dollar-denominated notes are guaranteed by certain subsidiaries of Molson Coors Beverage Company.Davis Polk also acted as special U.S. counsel to the several initial purchasers in connection with an unregistered offering by Molson Coors International LP of C$500 million aggregate principal amount of its 4.300% senior notes due 2033. The Canadian dollar-denominated notes are guaranteed by certain subsidiaries of Molson Coors Beverage Company.The aggregate net proceeds from the offerings were approximately $1.846 billion, which Molson Coors intends to use to for general corporate purposes, including the repayment of the $2 billion 3.00% senior notes due 2026 and the C$500 million 3.44% senior notes due 2026.
