We advised the underwriters on the offering

Davis Polk advised the representatives of the underwriters on a registered offering by Axon Enterprise, Inc. of $1.15 billion aggregate principal amount of 0% convertible senior notes due 2031, which included $150 million principal amount of notes pursuant to the exercise in full of the underwriters’ option to purchase additional notes. In addition, Davis Polk advised counterparties to the convertible capped call transactions in connection with the convertible notes offering.
