Position Summary

The Private Equity/M&A Corporate Paralegal provides a vital role in gathering, organizing and updating the documents in the Private Equity client database. The online database provides an invaluable precedent resource for the practice group. Under attorney guidance, the corporate paralegal, will review and understand the role of the documents in Private Equity and M&A transactional matters. 

Essentials Duties and Responsibilities

Typical responsibilities include, but are not limited to, the following:

  • Maintain and update database for private equity portfolio companies
  • Locate materials corresponding to each portfolio company such as closing documents, structure charts, organizational documents, various agreements then upload to the database
  • Coordinate with various teams, including Business Development and Web Edit, to ensure materials online are accurate and complete
  • Create a wiki page for each deal and follow up with each deal legal assistant regarding deals in the precedent collection that are missing documentation
  • Update and track status of all deals, noting missing documentation
  • Post all closing deliverables, bound volumes and related documents when they become available
  • Locate in the DMS documents appropriate for posting 
  • Coordinate intranet posting with processing staff such as Web Services and Word Processing
  • Assist the Mergers & Acquisitions team with various tasks such as entity formation, amendment and dissolution, closing matters, corporate documents, various agreements, factual research and other related tasks
Qualifications / Position Requirements
  • Ability to manage a varied workload and meet deadlines
  • Must be punctual and reliable
  • Proficient in MS Word, Excel, PowerPoint, Outlook and other applications as needed
  • Strong interpersonal skills
  • Must be able to work independently
  • Must be able to work collaboratively with lawyers and staff, demonstrating strong teamwork and a positive attitude
  • Excellent written and verbal communication skills
  • Ability to proofread typed material for typographical, spelling and grammatical errors
  • Strong organizational skills and attention to detail
  • Ensure confidentiality of all the Firm’s and clients’ documentation and information
Education and/or Experience
  • Bachelor’s degree with a strong academic record is required
  • No previous experience required
Compensation

The expected base salary for this position is $60,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, anticipated assignment, and, where applicable, licensure or certifications obtained. Market and organizational factors are also considered. Davis Polk offers a competitive salary and comprehensive benefits package.
