Assistant Manager, Corporate Paralegals
Monday through Friday, 9:30 am – 5:30 pm (overtime as required)
Corporate Paralegals support attorneys in various stages of Capital Markets transactions including the preparation of transactional documents and other client-related matters. They assist with the development of practice resources and other special projects for the Capital Markets Department.
Typical responsibilities include, but are not limited to, the following:
- Assist with drafting, editing and proofreading ‘33 and ‘34 Act filings (Forms S-1, S-3, F-1, F-3, 20-F, 10-K, 10-Q, 8-K, 6-K, etc.) offering documents, memoranda of closing and other transactional documents under attorney supervision
- Manage EDGAR process for ‘33 and ‘34 Act filings, including collecting and organizing signature pages and exhibits for SEC filings under attorney supervision
- Assist with the preparation of drafts of DTC Blanket Letter of Representations and riders then make the necessary delivery arrangements
- Prepare U.S. Authorized Representative and Agent for Service of Process agreements
- Assist with due diligence matters by organizing, tracking and reviewing documents
- Prepare and transfer auditors, back-up and CFO circle-ups
- Revise, proofread, and distribute registration statements, offering documents, offering memoranda, draft agreements and other transactional documents under attorney supervision
- Obtain charter documents and good-standing certificates from the Secretary of State in applicable jurisdictions
- Prepare signature pages packages and coordinate with internal working groups to facilitate execution of transaction documents
- Prepare execution versions of various documents including notes based on the indenture “form of”
- Assist attorneys with pre-closing and closing transactions
- Handle post-closing matters, including the preparation of closing sets
- Gather, organize, and maintain precedent collections
- Conduct factual research assignments on Intelligize, VitalLaw, SEC’s website and other sources
- Coordinate with business librarians to manage research and precedent requests, review results and organize data in requested format
- Arrange for notarization and apostille services
- Arrange for translation of foreign language documents into English
- Monitor the filing of documents with the Securities and Exchange Commission and with stock exchanges
- Assist in the compilation and creation of presentations
- Ability to manage a varied workload and meet deadlines
- Must be punctual and reliable
- Proficiency in MS Word, Excel, PowerPoint, Outlook, and other applications as needed
- Strong interpersonal skills
- Must be able to work collaboratively with attorneys and staff, demonstrating strong teamwork and a positive attitude
- Excellent written and verbal communication skills
- Ability to proofread typed material for typographical, spelling, and grammatical errors
- Strong organizational skills and attention to detail
- Ensure confidentiality of all the Firm’s and clients’ documentation and information
- Bachelor’s degree with a strong academic record is required
The expected base salary for this position is $60,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, anticipated assignment, and, where applicable, licensure or certifications obtained.
