SEC's Temporary Suspension of EDGAR Filing System

August 23, 2011

The SEC announced today that it temporarily suspended the operation of its EDGAR filing system as a precautionary measure due to the earthquake in the Washington, D.C. area this afternoon. The SEC expects EDGAR to be available tomorrow, August 24, during regular business hours. Although the SEC staff has not indicated how it will date filings not filed today due to the EDGAR outage, in the past the staff has honored company requests to adjust the filing date if a filing was delayed due to technical difficulties beyond the filer's control.  You should contact SEC Filer Support at 202-551-8900 or your Davis Polk contact with any questions.
