Ms. Roman is an associate in Davis Polk's Corporate Department, practicing in the São Paulo office. Her practice focuses principally on Latin American project finance and other cross-border lending work. She has also advised U.S. and non-U.S. clients on capital markets transactions, including private debt and equity offerings, primarily in Latin America, and with respect to securities law issues and general corporate matters.

Work Highlights

Recent significant transactions include representing:

  • Ocyan (formerly Odebrecht Oil & Gas) on Brazil’s largest ever extrajudicial restructuring of project bonds and general corporate debt of approximately $5 billion 
  • Sponsors on their ongoing needs for the Rutas de Lima loan and project bond financing for a section of the Lima ring road, Peru
  • Affiliate of Ocyan (formerly Odebrecht Oil & Gas) on the $600 million Rule 144A/Reg S offering of high-yield project bonds
  • Ocyan (formerly Odebrecht Oil & Gas) on the $550 million Rule 144A/Reg S offering of perpetual notes 
  • Sete Brasil on the approximately $5 billion (total) in bridge loans for the project financings of 29 ultra-deep water drilling units being constructed in five shipyards in Brazil
