Dr. Corner is European counsel in Davis Polk’s Corporate Department, practicing in the London office. His practice focuses on advising corporate and investment banking clients on securities listings and offerings and mergers and acquisitions.

He also advises on corporate governance matters and corporate and securities law and regulation, with extensive experience in advising on the U.K. Listing, Prospectus, Disclosure and Transparency Rules, U.K. Corporate Governance Code and the Market Abuse Regulation.

Work Highlights

Since joining Davis Polk in 2017, Jamie has advised:

  • ContourGlobal on its £1.7 billion London listing and initial public offering
  • Barclays and RBC on Charter Court Financial Services’ £550 million London listing and initial public offering
  • The underwriters on the U.S.-registered US$731.5 million IPO of Gates Industrial Corporation and listing on the New York Stock Exchange
  • ContourGlobal on its Class 1 €806 million  acquisition of Acciona Termosolar
  • Lazard, as sponsor, on Vedanta’s Class 1 $795 million acquisition of Electrosteel

Jamie has also advised on:

  • The IPOs of Hastings Insurance, Poundland, Partnership Assurance and SSP (for the issuer), and Arrow Global, DFS, HellermannTyton, Justice Holdings and Worldplay (for the underwriters)
  • The rights issues by Laird, JJB Sports (for the issuer) and Barclays, Lamprell, Rio Tinto and Shanks (for the underwriters) and open offers by AA, Non-Standard Finance and Sportingbet (for the underwriters)
  • The transfers of London and Stamford and Sportingbet from AIM to the Main Market and C&C and Smurfit Kappa from the standard to premium listing segments
  • The demergers of Gocompare from esure and Indivior from Reckitt Benckiser

  • The sales of shares by the U.K. Government in Lloyds, Royal Bank of Scotland and Royal Mail
