Fiona Lee

Ms. Lee is an associate in Davis Polk's Corporate Department, resident in Hong Kong. Her practice focuses on initial public offerings, public mergers and acquisitions, as well as compliance with laws and regulations by Hong Kong-listed companies. Before joining the firm in 2013, she worked in the Corporate Securities and Financial Markets Group of another first-tier international law firm.

  • The placing agents on the $1.35 billion top up placement of shares by Kunlun Energy Company on its $1.35 billion top up placement of shares

  • New World Development Company and NWS Holdings on the spinoff listing of Newton Resources by way of global offering and separate listing on the Main Board of The Stock Exchange of Hong Kong

  • The underwriters on the Hong Kong IPO and global offering by Da Ming International Holdings

  • International Mining Machinery Holdings, whose ultimate controlling shareholder is a U.S.-based private equity firm on its Hong Kong IPO and global offering

  • SJM Holdings  on its issue of HK$2 billion zero coupon guaranteed convertible bonds listed on the Singapore Exchange

Mergers and Acquisitions
  • Arla Foods amba, a global dairy company and a cooperative owned by Danish, Swedish and German dairy farmers, on an agreement to purchase an indirect stake of approximately 6% in China Mengniu Dairy for $290 million
  • Sino French Water Development Company (a joint venture between NWS Holdings and Suez Environment S.A.)’s HK$590 million acquisition of a majority stake in Jiangsu Water Company
  • Sino French Water Development Company’s HK$230 million disposal of 28.5% stake in Jiangsu Water Company to Golden State Water Group Corporation
  • Telefónica, S.A., an integrated telecommunications company based in Spain, on its agreement to enhance cooperation strategic alliance and its $500 million investment in China Unicom's shares and the $500 million subscription by China Unicom in Telefónica's shares
  • Yanzhou Coal Mining on its AU$3.33 billion acquisition of 100% of the issued share capital in Felix Resources, a company incorporated under the laws of Australia and listed on the Australian Securities Exchange, by way of a scheme of arrangement
  • CNNC Overseas Uranium Holding (a wholly owned subsidiary of China National Nuclear Corporation)’s HK$700 million acquisition of the majority stake in United Metals Holdings, a Hong Kong listed company, and on the subsequent HK$114 million mandatory general offer by CCB International Capital on behalf of CNNC Overseas Uranium Holding
  • China BlueChemical‘s RMB1,224 million acquisition of 83.17% equity interest in Hubei Dayukou Chemical Co. and 100% equity interest in ZHJ Mining Co. from its parent company, China National Offshore Oil Corporation (CNOOC). Hubei Dayukou Chemical Co. and ZHJ Mining Co. are companies established in the PRC which hold mining permits in the PRC
