Mr. Wilson is counsel in Davis Polk’s Tax Department, practicing in the London office. He advises corporate and investment banking clients on a broad range of U.K. and cross-border tax matters, with a particular focus on public and private mergers, acquisitions, spin-offs and reconstructions, as well as equity, debt and hybrid corporate finance and derivatives transactions.

Work Highlights

Recent transactions have included advising:

  • A.P. Møller - Mærsk on its $7.45 billion disposal of Mærsk Oil to Total
  • Natura on its $1 billion acquisition of The Body Shop from L’Oréal
  • MasterCard on its £700m acquisition of 92.4% of VocaLink
  • Telia Company AB on the sale of its 60% interest in Tcell to the Aga Khan Fund for Economic Development SA
  • Morgan Stanley on the aborted sale of its Global Oil Merchanting Business to Rosneft, and in connection with the subsequent sale to Castleton Commodities
  • Various financial institutions on the spin-off of proprietary trading desks, including Barclays on the spin-off of Squarepoint Capital and Credit Suisse on the spin-off of DLJ Merchant Banking
  • The Royal Bank of Scotland Group on matters including offerings of regulatory capital securities, senior debt and exchange traded notes, and in connection with the IPO of Citizens Financial Group Inc
  • Lloyds Bank on matters including liability management transactions and offerings of regulatory capital securities, senior debt and structured notes
  • On IPOs, including One Savings Bank plc and Oxford Immunotec Global plc (the latter being the first IPO involving shares in a U.K. company held directly through DTC)
  • The financial advisers to Verizon on its $130 billion acquisition from Vodafone of a 45% interest in Verizon Wireless
  • Tele2 AB on the $3.2 billion disposal of its Russian operations
  • ARM Holdings plc on its acquisition of Sensinode Oy
  • A private equity house on a framework for joint investments
  • An asset management group on a corporate restructuring
  • A sovereign wealth fund on investments and ISDA credit support issues 

Mr. Wilson’s extensive experience before joining Davis Polk includes advising the Royal Bank of Scotland Group on the €71 billion consortium takeover of ABN AMRO and subsequent integration work, its £12 billion rights issue, £15 billion open offer and £25.5 billion share issue to H.M. Treasury, its terms of accession to the U.K. Government’s £282 billion Asset Protection Scheme and various aspects of its subsequent asset disposal program.
