Mr. Vermynck is counsel in Davis Polk's Litigation Department, practicing in the Paris office. He has extensive experience representing companies in commercial and corporate litigations and arbitrations. He also advises individuals and companies in criminal matters.

Before joining Davis Polk, Mr. Vermynck's matters included advising:

M&A Litigation and Arbitration
  • A major investment bank, purchaser of a majority share in a target company, sued by the seller for fraud, on grounds that it would have provided deceitful business plans at the time of the acquisition 
  • A major retail group, sued by one of its subsidiary’s minority shareholder for breach of a shareholders’ agreement 
  • An investment fund, purchaser of a target company under judicial review from a major logistics group, and sued for fraud by the target company’s employees, on grounds that such acquisition had been made for the sole purpose of escaping mandatory laws regarding the redeployment of employees 
  • A major transport group, contributor of assets to another energy group, sued by one of its creditors on grounds that such contribution of assets was fraudulent 
  • A major food group, purchaser of a target company, in its action against the seller for fraud and breach of the representations and warranties of the share purchase agreement, following the discovery of various irregularities in the target company’s accounts 
Commercial Litigation
  • A major retail group, sued for unfair competition (unlawful comparative advertising and misleading advertising) 
  • A major waste management company, in an action against a business partner for breach of established business relationships 
  • A major media group, in its action against a television station for disparaging 
Securities Litigation
  • An investment fund, issuer of a public offer on the shares of a target company, in its action for enforcement of a share purchase agreement against one of the shareholders of the target company 
Criminal Litigation 
  • A media group undergoing a judicial inquiry, in relation to its management fees internal policy 
  • As First Secretary of the Paris Bar, clients before juges d’instruction and criminal courts, in more than 40 criminal cases
