Davis Polk advised the initial purchasers in connection with a Rule 144A/Regulation S offering by Westinghouse Air Brake Technologies Corporation of $750 million aggregate principal amount of 3.450% senior notes due 2026. The proceeds of the offering will be used to fund a portion of the purchase price in connection with Wabtec’s proposed acquisition of Faiveley Transport S.A.

Wabtec is a global provider of value-added, technology-based products and services for rail and other industrial markets. Through its subsidiaries, the company manufactures a range of products for locomotives, freight cars and passenger transit vehicles. The company also builds new  switcher and commuter locomotives, and provides aftermarket services. The company has facilities located throughout the world.
