Davis Polk advised the representatives of the underwriters in connection with an SEC-registered offering of 4,600,000 shares of common stock of Horizon Global Corporation, which included 600,000 shares from the full exercise of the underwriters’ option to purchase additional shares. The net proceeds from the offering were approximately $79.9 million. The common stock is listed on the New York Stock Exchange under the symbol “HZN.”

Horizon Global, which became an independent, publicly traded company as the result of a spin-off from TriMas Corporation in June 2015, is a leading designer, manufacturer and distributor of a wide variety of high-quality, custom-engineered towing, trailering, cargo management and other related accessory products on a global basis, serving the automotive aftermarket, retail and original equipment.
