We advised the underwriters on the SPAC IPO and NYSE listing

Davis Polk advised the representatives of the several underwriters, in connection with the initial public offering of 138,000,000 units of Austerlitz Acquisition Corporation II, including 18,000,000 units purchased pursuant to the full exercise of the underwriters’ option to purchase additional units, for aggregate proceeds of $1.38 billion. Each unit consists of one Class A ordinary share and one-fourth of one warrant to purchase one Class A ordinary share of Austerlitz Acquisition Corporation II. The units were listed on the New York Stock Exchange under the symbol “ASZ.U.”

Austerlitz Acquisition Corporation II is a newly incorporated special purpose acquisition company (SPAC) whose business purpose is to effect a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses or entities. Although Austerlitz Acquisition Corporation II is not limited to a particular industry or geographic region for purposes of consummating a business combination, it intends to focus on identifying a prospective target business in financial technology or information and business services, which acts as an essential utility to industries that are core to the economy.
