Stephanie’s practice focuses on corporate regulatory compliance, including advising on corporate governance, capital structure, public reporting and disclosure. She also advises on corporate transactions, including follow-on equity fundraisings and public takeovers.
Experience
Stephanie’s experience before joining Davis Polk includes advising:
- A biotechnology company in the spin-off listing of its subsidiary on the STAR Market of the Shanghai Stock Exchange
- Issuers on follow-on equity offerings, including private placements, top-up placings, rights issues and block trades of publicly listed equity
- A state-owned enterprise in successfully securing a non-standard waiver on the obligation to make a mandatory general offer under Rule 26.1 of the Hong Kong Takeovers Code
- A listed issuer in successfully securing a confirmation from the Hong Kong Stock Exchange (HKEX) that a series of acquisitions, despite constituting a fundamental change to principal businesses of an issuer, did not constitute a “reverse takeover”
- A listed issuer in a successful resumption of trading of its shares, in which the HKEX Listing Review Committee overturned the Listing Committee’s decision to cancel the issuer’s listing status
- In respect of investigations by the Hong Kong Securities and Futures Commission, including of a listed issuer’s alleged breaches of disclosure obligations and of alleged market misconduct involving short-selling reports
- Independent non-executive directors of a listed company who were subject to HKEX disciplinary procedures
