Monday through Friday, 9:30 am – 5:30 pm (overtime as required)

Position Summary

Corporate Legal Assistant – Executive Compensation assist attorneys who work on large and complex executive compensation transactions. These matters include mergers and acquisitions, private equity, recapitalizations, spinoffs, workouts and bankruptcies, initial public offerings, and joint ventures and strategic alliances. Executive Compensation Legal Assistants assist attorneys as they advise on the recruitment of senior executives, the design and implementation of equity-based retention, other compensation plans, and compliance with applicable tax, securities, disclosure, and corporate governance, fiduciary, and other requirements.

Essentials Duties and Responsibilities

Typical responsibilities include, but are not limited to, the following:

  • Draft correspondence and documentation under attorney supervision
  • Assist with due diligence matters by organizing and reviewing documents
  • Revise, proofread, and distribute draft agreements and other transactional documents under attorney supervision
  • Draft Section 16 filings and corporate governance documentation under attorney supervision
  • Gather, organize, and maintain precedent collections
  • Conduct factual research assignments and draft memoranda
  • Track and monitor financial regulator websites and circulate rule and other releases to the group, so they are updated in real time
  • Assist in the compilation and creation of presentations and memoranda
  • Assist attorneys with first-year trainings and weekly practice group meetings
  • Responsible for the daily coordination and elimination of logistical problems among attorneys, clients, and other involved parties
  • Assist in a broad range of business development initiatives for the Executive Compensation partners
  • Track market developments in executive compensation trends and prepare reports for attorneys
  • Prepare daily “news scan” update for the practice group on practice developments
Qualifications / Position Requirements
  • Ability to manage a varied workload and meet deadlines
  • Must be punctual and reliable
  • Must be diligent, thorough, proactive, and able to manage certain projects with limited supervision
  • Proficiency in MS Word, Excel, PowerPoint, Outlook, and other applications as needed
  • Strong interpersonal skills
  • Must be able to work collaboratively with lawyers and staff, demonstrating strong teamwork and a positive attitude
  • Excellent written and verbal communication skills
  • Excellent attention to detail
  • Ability to proofread typed material for typographical, spelling, and grammatical errors
  • Ensure confidentiality of all the Firm’s and clients’ documentation and information
Education and/or Experience
  • Bachelor’s degree with a strong academic record is required
  • No prior experience required

The expected base salary for this position is $55,000. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, anticipated assignment, and, where applicable, licensure or certifications obtained. Market and organizational factors are also considered. Davis Polk offers a competitive salary and comprehensive benefits package.
