Boards of directors and officers of leading corporations and financial institutions regularly call on our litigators for strategic advice and representation in high-profile crisis management situations, civil litigation, and governmental and internal investigations.

Among other matters, we are currently representing the boards, independent directors or board committees of several major financial institutions in matters arising out of the financial crisis, and recent assignments for other clients include representation in connection with stock option grants, allegations of management misconduct, related party dealings, and varied other matters. We also regularly advise our clients regarding evaluating and responding to shareholder demands.

Notable Matters

  • We are representing the Board of Directors of Bank of America in shareholder derivative actions in numerous jurisdictions arising from Bank of America’s acquisition of Merrill Lynch.


  • We represented the Audit Committee of the Board of Bear Stearns in its investigation into the collapse of two of its sponsored hedge funds.


  • We represented committees of independent directors of the boards of C-NET, E*Trade and KB Home, in their respective investigations into practices for awarding stock options.


  • We represented the Audit Committee of the Board of Royal Dutch Shell in its investigation of the accounting issues relating to re-categorization of almost 4 billion barrels of proved reserves.
