• We advised Aozora Bank, a Japanese bank, and a special committee of its board of directors in connection with a $420 million partial tender offer by Cerberus NCB Acquisition, Aozora Bank's major shareholder.
• We advised DLJ Merchant Banking Partners, a private equity investment affiliate of Credit Suisse, on its €290.8 million acquisition of Guala Closures, an Italian producer of non-refillable closures for spirits, beverages and edible oil. Italian bank Intesa Sanpaolo acquired a 20% stake in GCL Holdings Sarl, the vehicle company set up for the acquisition.
• We advised Metalmark Capital Partners and Greenhill Capital Partners, both New York-based private investment firms, on their $305 million acquisition of BreitBurn Energy Partners, a Los Angeles-based independent oil and gas limited partnership, from Provident Energy Trust, a Calgary, Canada-based open-end investment trust.
