Notable Matters

  • We advised Crestview Partners, a value-oriented private equity firm based in New York, on its $7.2 billion acquisition with an investor group, including KKR, Natural Gas Partners and Itochu, of Samson Investment Company, one of the largest private oil and gas exploration and production companies in the United States; its $3 billion sale of portfolio company Insight Communications, a New York-based cable operator, to Time Warner Cable; and its $2.617 billion sale with an investor group of approximately 26.9 million shares and 1.1 million warrants in Charter Communications, a broadband communications company and cable operator, to Liberty Media.


  • We advised Getty Investments on the $3.3 billion acquisition of Getty Images, a leading creator and distributor of still imagery, video and multimedia products, by The Carlyle Group. Getty Investments is comprised of the Getty family’s interest in Getty Images.


  • We advised affiliates of GS Capital Partners, the private equity arm of Goldman Sachs, and Advent International on the $3 billion acquisition of TransUnion, a provider of information management and risk management solutions, from Madison Dearborn Partners and the Pritzker family business interests.


  • We advised General Atlantic, a Greenwich, Connecticut-based global growth investment firm, on the $3 billion sale of portfolio company Emdeon, a Nashville, Tennessee-based health care technology company, to Blackstone.


  • We advised Vector Capital, a San Francisco, California-based value investor in established technology businesses, on its $2.2 billion acquisition proposal for Quest Software, a provider of IT management solutions.


  • We advised EQT Partners, a Swedish private equity firm that invests in companies in northern and eastern Europe, Asia and the United States, on its $2.2 billion sale of Dako, a Danish tissue-based cancer diagnostics company, to Agilent Technologies, a Santa Clara, California-based provider of measurement technology for chemical analysis and life sciences applications.
