Notable Matters

  • We are advising Crestview Partners in connection with its $7.2 billion acquisition with an investor group including Kohlberg Kravis Roberts & Co., Natural Gas Partners and Itochu of Samson Investment Company, one of the largest, private oil and gas exploration and production companies in the U.S.


  • We advised General Atlantic, a private equity firm, as the largest shareholder in connection with the $3 billion sale of its portfolio company Emdeon, a Nashville, Tennessee-based provider of revenue and payment cycle management and clinical information exchange solutions, to Blackstone.


  • We advised DLJ Merchant Banking Partners, the private equity investment arm of Credit Suisse, as selling shareholder of FDR Holdings Limited (Frontier), a Houston, Texas-based independent oil and gas drilling company, in connection with the acquisition of Frontier by Noble Corporation in a cash transaction which values the enterprise at $2.16 billion.


  • We advised Grupo Qualicorp, a Brazilian health care benefits and insurance services company, on the acquisition of a controlling stake by The Carlyle Group, a private equity firm.


  • We advised Quicksilver Resources in connection with the sale of 100% of its interests in Quicksilver Gas Services LP to First Reserve Crestwood Holdings, a portfolio company of private equity firm First Reserve, for approximately $1 billion.
