A substantial portion of Davis Polk’s M&A practice is international in scope. We have advised on major non-U.S. and cross-border acquisitions and have considerable experience structuring international joint ventures in a wide range of industries. Our skill in international transactions is such that in a number of instances non-U.S. companies have hired Davis Polk to advise on transactions with no U.S. connection.

• We are advising Roche, a Swiss research–focused health care group, on its $44 billion offer to acquire all of the outstanding publicly held shares in Genentech, a California–based biotechnology company
• We served as US counsel to the Swedish government in connection with its €5.6 billion sale of Vin & Sprit, maker of Absolut Vodka, to French liquor company Pernod Ricard
• We are advising MMX Mineração e Metálicos S.A. in connection with the proposed split–up of the company and subsequent $5.5 billion sale of one of the resulting companies to an affiliate of Anglo American
• We advised Santander, a Spanish bank, on its $1.9 billion acquisition of Sovereign Bancorp, a Philadelphia–based diversified financial services provider and the parent company of Sovereign Bank
• We advised Shionogi & Co., a Japanese pharmaceutical company, on its $1.1 billion acquisition of Sciele Pharma, a U.S. midsize pharmaceutical company
