Our Asia practice includes extensive experience in cross-border securities offerings, privatizations, joint ventures, mergers and acquisitions, project financings, other bank financings and other transactions involving Asia and the Pacific Rim, as well as commercial litigation, bank regulatory matters and questions of U.S. and international tax law.

Davis Polk has been active in Asia since working with J.P. Morgan & Co. on railroad financings in China in the early 1900s and on financings for the reconstruction of Tokyo after the 1923 earthquake. We are one of the first Wall Street firms to open offices in Tokyo and Hong Kong.

Today we have nearly 30 resident corporate lawyers in these offices, as well as our new office in Beijing, working on all types of transactions.

• $784 million acquisition by Advanced Semiconductor Engineering of ASE Test in a going-private transaction – Advanced Semiconductor Engineering, based in Taiwan, is one of the world’s largest independent providers of integrated circuit-packaging services and, together with its approximately 51%–owned subsidiary ASE Test, the world’s largest independent provider of integrated circuit–testing services
• $582 million global offering, consisting of an initial public offering on the Hong Kong Stock Exchange and a Rule 144A/Regulation S international offering, by KWG Property Holding, one of the leading property development companies in Guangdong province in China
• Sale by Bertelsmann of its 50% interest in Sony BMG to Sony – the music company, Sony Music Entertainment, has become a wholly owned subsidiary of Sony Corporation of America
