Stephen M. Pepper
Counsel

Mr. Pepper is counsel in Davis Polk’s Litigation Department. He regularly advises clients on the antitrust aspects of mergers, acquisitions and joint ventures, and has extensive experience with the antitrust pre-acquisition reporting requirements of the Hart-Scott-Rodino Act. He has significant experience with the HSR Act implications of complex transactions involving private equity firms and hedge funds.

Mr. Pepper also frequently advises clients on global merger clearance strategy for international transactions, coordinating international merger control filings and clearance efforts.

He has obtained antitrust clearance from the U.S. Department of Justice, the Federal Trade Commission, and foreign merger control authorities for transactions in a variety of industries, including pharmaceuticals, semiconductor equipment, engineering, electronics, retail clothing stores, banking, cable programming and distribution, energy and natural gas pipeline distribution, and magazine and software publishing.
