Work Highlights

Since joining Davis Polk in 2004, Mr. Toskan has worked on a broad range of  capital markets and mergers and acquisitions transactions, including representing:

  • The underwriters in the $1.4 billion SEC-registered IPO of Yandex N.V.
  • The underwriters in the $476 million SEC-registered IPO, and a subsequent $900 million SEC-registered secondary offering of NXP Semiconductors N.V.
  • The underwriters in the €2.1 billion IPO of Saras S.p.A.
  • Ocado Group in its £369 million Rule 144A/Regulation S IPO
  • KUKA AG on its high-yield bond offering
  • The underwriters in the debut Rule 144A/Regulation S debt offerings for AB Volvo and Smiths Group
  • Morgan Stanley in the acquisitions of an Italian and a Russian bank
  • Francisco Partners in the acquisition of the EDI business from IBM

Mr. Toskan was a member of the team of Davis Polk lawyers who represented Siemens AG in connection with the resolution of the largest case under the Foreign Corrupt Practices Act (FCPA), including proceedings of the SEC and U.S. Department of Justice.

From July 2006 to January 2007, Mr. Toskan was seconded to Morgan Stanley, where he worked on structured finance projects and acquisitions in the Securitized Products Group.

  • In 2001, Mr. Toskan served as a special adviser on constitutional reform for accession to the European Union to the Republic of Slovenia, Government Office for Legislation.
