Michael T. Dunn
Counsel

Mr. Dunn is counsel in Davis Polk’s Corporate Department. Fluent in Japanese, he has worked in the Tokyo office for over 10 years. His primary practice areas include: capital markets; dispute resolution; and mergers and acquisitions, including joint ventures. Together with Messrs. Gregor and Paradise, Mr. Dunn regularly advises Japanese companies listed in the United States in connection with their respective SEC and exchange reporting obligations. In 2010, he advised, together with Mr. Paradise, Sumitomo Mitsui Financial Group and Chuo Mitsui Trust Holdings in connection with their respective SEC registrations. He also works with the Hong Kong office advising Japanese companies considering Hong Kong IPOs.

Business Combinations

Mr. Dunn concentrates on mergers and acquisitions and joint ventures, particularly cross-border transactions involving Japanese parties, as highlighted by his role in Nikko Cordial Corporation’s (now Nikko Cordial Securities Inc.) share exchange with Citigroup Inc. involving the first-ever use of a triangular merger structure by a foreign firm in Japan. More recently, Mr. Dunn has advised, together with Mr. Paradise, on cross-border transactions involving Nippon Mining Holdings (now JX Holdings), Chuo Mitsui Trust Holdings and Nippon Life Insurance.

Capital Markets

Mr. Dunn advises clients on a broad array of corporate finance transactions, including privatization and IPOs, representing issuers, underwriters and governments in global and U.S. targeted securities offerings, both SEC-registered and exempt, by Japanese issuers. Together with Messrs. Gregor and Paradise, he has advised The Japanese Ministry of Finance, Cybird, Fuji Television Network, Hitachi, Nippon Life Insurance, ORIX, Promise, and Sumitomo Mitsui Financial Group. He has worked on other capital markets transactions for Chuo Mitsui Trust Holdings, JR West, Mitsubishi UFJ Financial Group, Nippon Commercial Investment, and NTT.

Dispute Resolution
Together with Messrs. Gregor and Paradise, Mr. Dunn counsels clients on litigation, enforcement, dispute resolution, FCPA and internal investigations.
