Juliet Cain
Partner

Ms. Cain is a partner in Davis Polk’s Credit Group. Her practice focuses on structured products and other complex financing transactions as well as restructurings. She has extensive experience advising clients in relation to securitizations and other asset-backed structures, aircraft financing, fund financing and project finance. She also advises certain of our financial institution clients who invest and trade in aircraft financings and portfolios.

Her pro bono work includes projects for GMHC, a not-for-profit provider of HIV/AIDS prevention, care and advocacy, and InMotion, a not-for-profit organization providing free legal services to low-income women in the area of matrimonial, family and immigration law.

Work Highlights

Securitizations and other Structured Transactions

  • Represented two major aircraft-backed vehicles, Airplanes Group and AerCo Limited
  • Involved in the structuring of securitizations involving other asset classes, including portfolios of government securities, non-performing loans, receivables and other financial assets
  • Involved in the formation, structuring and acquisition of credit derivatives products companies, involved in the representation of investors in drug royalty monetizations, involved in the representation of financing parties in cross-border leasings and restructurings 
  • Advising various cleints in customized structured products

Aircraft Financing

  • Represented Federal Express in all of its aircraft financings since the early 1990s (including the first EETC transaction for a cargo carrier)
  • Advised Delta Air Lines in connection with certain of its aircraft restructurings during its Chapter 11 proceedings
  • Advised Frontier Airlines in relation to fleet matters in its Chapter 11 proceedings
  • Advised the Federal Reserve Bank of New York in connection with secured financings for International Lease Finance Corporation
  • Advised financial institutions and hedge funds on strategic aircraft-related investments

Fund Financing

  • Representation of the Morgan Stanley Real Estate Funds and the Morgan Stanley Infrastructure Funds, as well as various venture capital funds and hedge funds
  • Also advises hedge funds in relation to prime brokerage and fixed income products
  • Work in this area has included clients such as Magnetar Capital, Chilton Investment Company, the Rohatyn Group and Highbridge Capital Management

Project Finance

  • Represented both sponsors and lenders in the oil and gas and the power sectors
  • Served as counsel with the European Bank for Reconstruction and Development in London from September 1998 to February 1999
