As a partner in Davis Polk’s Corporate Department, Mr. Rinaldi advises on public and private takeovers, private equity transactions, corporate governance and general securities and corporate law. His transactional practice encompasses both domestic and cross-border mergers, acquisitions and joint ventures. He has played a leading role in many highly complex and significant transactions, including both contested and uncontested transactions. In such transactions, he has represented both U.S. clients (such as Comcast, Qwest Communications, Delta Air Lines, Roper Industries, Bridgewater Associates and IHS, Inc.) and international clients (such as Banco Santander, Telecom Italia, GDF Suez, Holcim and Reed Elsevier). His practice also includes advising investment banks and private equity firms on a variety of securities and transactional matters. Mr. Rinaldi advises senior management and boards of directors of public companies (including board committees and special transaction committees) in connection with corporate governance, control transactions and other situations including those involving related party and shareholder relationships. Mr. Rinaldi is a member of the Board of Directors of Technip, S.A., an international oil and gas services company, is a member of the Strategic Committee and chairs the Ethics and Governance Committee of that Board.
