Mr. Polubinski is a member of Davis Polk’s Litigation Department, representing clients in securities, derivative, professional liability, acquisition-related, and other complex litigation in federal and state courts around the country. He also represents companies and boards of directors in internal investigations, as well as in investigations and other proceedings before various regulatory agencies, including the Securities and Exchange Commission. His recent clients include Bank of America, CVS Caremark, Ernst & Young, GSC Group, Hitachi, Morgan Stanley, PartnerRe, Pfizer and Toll Brothers.

  • Denial of class certification in favor of Pfizer in MDL proceeding in the District of Massachusetts in which plaintiffs sought $4.6 billion in alleged damages for payments relating to the off-label use of the prescription drug Neurontin
  • Representation of Toll Brothers in federal securities action and related derivative litigation in the Eastern District of Pennsylvania and in Delaware Chancery Court
  • Decertification of a class action brought against Pfizer in Pennsylvania state court
  • Representation of CVS Caremark in federal securities and derivative actions pending in the District of Rhode Island
  • Representation of Morgan Stanley in putative class action antitrust litigation in the Southern District of New York relating to IPO underwriter fees

  • Successful representation before the U.S. Supreme Court of Intel, Lockheed Martin, PepsiCo, Wal-Mart, and the Committee for Economic Development, as amicus curiae, in Caperton v. Massey, in which the Court held that outsized judicial campaign contributions can create an appearance of impropriety so great as to violate the due process clause
