Andrés V. Gil
Partner
Mr. Gil is a senior partner in Davis Polk’s Corporate Department with significant international experience. He is currently based in the Paris office, having been formerly based in New York where he headed the Corporate Department, was a member of the firm’s Management Committee and headed the Latin America practice. Mr. Gil also founded Davis Polk’s Madrid office and has been integrally involved in charting the course of the firm’s international strategy. Earlier in his career, he was based in the Paris office as an associate.

His clients have included Arcos Dorados, Bank of America Merrill Lynch, Banco Bilbao Vizcaya Argentaria (BBVA), Credit Suisse, GDF SUEZ, Goldman Sachs, J.P. Morgan, LVMH, Morgan Stanley, Roche Ltd. and Telefónica.

Mr. Gil has led the Davis Polk team on some of the most significant international transactions to date, including advising:

  • Goldman, Sachs as global coordinator of a $4 billion Rule 144A/Regulation S convertible bond and equity offering by ArcelorMittal in January 2013
  • GDF SUEZ S.A. on its $1.5 billion inaugural Rule 144A/Regulation S notes offering in October 2012
  • LVMH Moët Hennessy Louis Vuitton S.A., the parent company of the LVMH Group, on its inaugural $850 million notes offering in June 2012
  • The initial purchasers on a $2 billion debt offering by Vivendi, and J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated as dealer managers for a cash tender offer by Vivendi to purchase any and all of its outstanding 5.75% notes due 2013 in April 2012
  • The initial purchasers on a $3 billion SEC-registered notes offering by ArcelorMittal, and J.P. Morgan Securities LLC as dealer manager for a cash tender offer by ArcelorMittal to purchase any and all of its outstanding 5.375% notes due 2013 in February 2012
  • The initial purchasers in several debt offerings by Pernod Ricard ($2.5 billion in January 2012, $1.5 billion in October 2011 and $1 billion in April 2011)
  • Bankia, S.A. on its €3.092 billion IPO of its ordinary shares in July 2011
  • Arcos Dorados on its $1.4 billion SEC-registered IPO in April 2011 – the largest Latin American IPO in 2011
  • RCI Banque S.A. on its inaugural $1.25 billion notes offering in April 2011
  • The dealers in the establishment of a US$25 billion medium-term notes program and a $3.5 billion notes offering by Société Générale in April 2011
  • The arrangers and/or permanent dealers in the establishment of a €35 billion global covered bond program and a US$1.5 billion private placement of covered bonds (Obligations de Financement de l'Habitat) by Crédit Agricole Home Loan SFH in April 2011
  • Roche Group on its $16.5 billion rule 144A/Regulation S bond offering – this is the largest corporate bond sale in history
