Morgan Securities Inc. and SunTrust Robinson Humphrey, Inc. as joint bookrunners on an SEC-registered offering by Whitney Holding Corporation of 28,750,000 shares of its common stock, which included 3,750,000 shares purchased pursuant to an over-allotment option. Net proceeds of the offering were approximately $217.9 million.

Whitney Holding Corporation is a Louisiana corporation registered under the Bank Holding Company Act of 1956. Through its banking subsidiary, Whitney National Bank, it has engaged in the general banking business in the greater New Orleans area continuously since 1883.
