Verisk Analytics $250 Million Senior Notes Offering

Davis Polk advised Verisk Analytics, Inc. on its SEC-registered offering of $250 million aggregate principal amount of 4.875% senior notes due 2019, which are guaranteed by certain of Verisk’s subsidiaries. Merrill Lynch, Pierce, Fenner & Smith Incorporated and J.P. Morgan Securities LLC acted as representatives of the several underwriters for the offering.

Verisk is one of the largest aggregators and providers of data pertaining to property and casualty, or “P&C,” insurance risks in the United States, offering solutions for detecting fraud in the U.S. P&C insurance, mortgage and health care industries and sophisticated methods to predict and quantify loss in diverse contexts ranging from natural catastrophes to supply chain to health insurance.

The Davis Polk corporate team included partner Richard J. Sandler and associates Christopher R. Bornhorst and Russ McCracken (not yet admitted). Partner Harry Ballan and associate Juelle Gomes provided tax advice. Associate Catherine L. Martin provided ’40 Act advice. Kristyn M. Dunleavy was the legal assistant on the transaction. All members of the Davis Polk team are based in the New York office.
